1. K2 Consulting

K2 was founded in 1997 as a management consulting boutique to support a limited set of clients in strategy and management issues. Over time, some of our clients started hiring K2 for businesses’ start ups and turnarounds, which allowed us to build a unique track-record of successful projects in Brazil.

Some of K2’s best known projects are:
  • Spin-off of Avaya Communication from Lucent Technologies’ ENG in Brazil: market strategy, organization and processes
  • Merger of Net and Multicanal, thus creating GloboCabo – the largest pay-TV operation in Latin America
  • Turnaround of Estácio de , the second largest private held university in the world with 200k undergraduate students – from R$ 55 million EBITDA in 2005 to R$ 160 million in 2007 (same stores)
  • Design and creation of TAM Express, TAM´s express cargo business
  • Design and implementation of TV Globo's CRM corporate area (TV Globo is Brazil;s largest TV broadcaster and one of the largest in the world)
  • Management and restructuring of Sky’s Operations Division
  • Roll out of Virtua, the cable broadband internet service of Globocabo
  • Re-engineering of all Oi’s customer care processes (Oi is the largest telecom utility in Brazil)
  • Discovery Education Brazil market assessment and startup design
  • Turnaround of Aliança Saúde’s, a leading healthcare provider in the south of Brazil
  • Re-engineering of Bank BMG’s consigned loan operation

2. K2 Interim Management

 
In some situations, as a natural follow-on of our consulting services, some of our clients ask K2 to take charge of the management of businesses or businesses units.
 
Some highlights of K2’s interim Management track-record:
 
Atrium Telecom

  • K2 led the design, planning and implementation of the start-up and held a seat in the Board of Directions throughout the transaction life
  • The deal was funded by Advent, GE Capital and JP Morgan (US$ 20 million)
  • Awarded the fastest growing Brazilian company in 2003, Atrium was the most successful BLEC (building-local exchange carrier) in Brazil, with 335 buildings, 2,000 clients and 60,000 terminals under service
  • Atrium was sold to Telefonica in December 2004, delivering attractive returns to its investors
 
Direkt

  • In 2004, K2 acquired Direkt from RBS (one of the largest media groups in Brazil) and immediately put in place a turnaround plan -- in only three months the company registered its first profit and record revenues
  • Direkt was one of the five largest direct marketing services provider in Brazil, operating in database management, sales effectiveness improvement, client reward programs, clients retention, market research and other data processing direct marketing services
  • In 2009, Direkt merged with Direct Talk, a portfolio company from Rio Bravo fund
 
CMI

  • CMI has been a joint venture between K2 (50%) and a group of physicians created to deliver integrated healthcare services to a regional healthcare plan -- a built to suit company
  • CMI offers consultation, selected exams, ambulatory services, critical patient (high cost), hospitalization supervision and other healthcare services in the city of São Bernardo do Campo (Greater São Paulo area)
  • CMI was implemented by K2 in only three months, including facilities development and the hiring of more than 100 physicians
  • The company was under K2 management until July 2008 when it was transferred back to the operator’s group
 
UniSaúde

  • K2 was retained to supervise a series of projects in the health care sector in Angola, a country that has been under civil war for decades and still has most of its public services systems under reconstruction
  • This work included the development of UniSaúde, the first integrated health care service in the country
 
Grupo Alana

  • BiblionSuperPedido and GiroTrade are a group of companies in the logistics sector (sales and operation of books and supermarket items) with annual revenues over US$ 50 million
  • K2 was hired to manage and turnaround these companies

Combustol
  • The Combustol group manufactures furnaces for the oil and gas, steel and metallurgic sectors, manufactures sintered parts, and renders services of thermal treatment on steel parts, with annual revenues of US$ 100 million
  • After a strategic consulting assignment, K2 was hired to manage the turnaround of the group

3. K2 Investments

 
K2 Investments focuses on mergers & acquisitions and has provided transactional services and financial advice to a number of companies in Brazil.
  
Besides M&A activities, K2 Investments renders advisory services in financial restructuring and M&A preparation, the last being indicated to companies that intend to have an equity transaction in the near future and find appropriate to put in place adequate controls and reporting.
